The Get to Know CONNECT (“the Contest”) is organised by and sponsored by Asian Business Software Solutions Pte Ltd & Asian Business Software Solutions Sdn Bhd (ABSS). (“the Company”).

By entering the Contest, participants agree to be bound by and to comply with the T&Cs. Any amendments to the T&Cs, additions, replacements, variations, and modifications thereto, which shall be final and binding in all respects on each participant. Amendments to the T&Cs will be posted on this webpage.

Non-compliance with or breach of any of these T&Cs may disqualify a participant at any stage of the Contest, and any prizes won may be forfeited, withheld, withdrawn, or reclaimed.

Terms & Conditions

Contest Mechanics

The Eligible Participants need to carry out the following steps in order to become a participant in the Contest.

  1. Weekly prize lucky draw: Answer 1 trivia question in the comments section of the Facebook post and tag two friends.
  2. Grand prize lucky draw: Participate on a weekly basis with qualified entry/entries and adhere to the contest mechanics, as stated in no.1. Participants for the Grand prize lucky draw will need to complete and submit the Get to Know CONNECT Lucky Draw Form.  
  3. One winner will be picked from the eligible entries randomly for each week’s trivia question post.
  4. One winner will be picked from the eligible entries randomly for the grand prize lucky draw.

CONNECT mobile app is specially designed for users to record any sales and purchases transactions in their Financio account, while on the go. All settings (includes creating a new product) need to be done via Financio web application to avoid any product duplication.
To change the setting, kindly go to Control Panel > Users > View > setup your CONNECT Mobile Role > Click on Save. However, you will need to have access to Control Panel to do the settings.

1. INTRODUCTION

1.1 Welcome

1.1.1 Welcome to the terms of use (“Agreement” or “Terms of Service”) offered by Asian Business Software Solutions and its affiliates (“ABSS”, “we”, “us” or “our”).

1.1.2 This Agreement, together with any amendments, order forms, and any additional agreements is a legally binding contract that is entered into by the person or entity (“you”, “your”, or “user”) who registers with ABSS to have access to and use of websites, services, products and applications (collectively, the “Financio”). These Terms of Service apply to all visitors, users and others who access or use Financio.

1.1.3 The Agreement is effective as of the date of the email sent to you by us expressly confirming acceptance of your registration or the date you accept the Agreement as part of our online subscription process.

1.1.4 Please read this Agreement carefully.

1.2 Acceptance of Terms of Service

1.2.1 By registering with us or accessing or using Financio in any way made available by    ABSS, you, are indicating your acceptance of this Agreement and your agreement to abide by the Terms of Service and all other rules, policies and procedures that are published on the website.

1.2.2 If you are entering into this Agreement on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorised to do so.

1.2.3 If you do not agree with (or cannot comply with) the Agreement, then you may not access or use Financio.

1.3 Modifications to Terms of Service

1.3.1 We reserve the right, at our sole discretion, to make modifications to any portion of the Agreement in whole or in part, at any time without giving you prior notice. Your use of the Services following any such modification constitutes your acceptance to be bound by the Agreement as modified.

1.3.2 You agree that we shall not be liable to you or to any third party for any modifications to the Terms of Service. If you do not wish to continue using Financio under the new version of the Agreement, you may choose to terminate the Agreement.

1.4 Information

1.4.1 The information, material and content provided in the pages of Financio (the “Information”) is believed to be reliable when posted, but there is no guarantee that it is accurate, complete or current at all times.

2. SERVICES (“FINANCIO”)

2.1 Usage and Provision of Financio

2.1.1 You may access and use Financio only in compliance with these Terms of Service and in accordance with the instructions that we provide. You must use Financio in a lawful manner and you must adhere to all applicable laws, rules and regulations.

2.1.2 We may suspend or stop providing Financio to you if you do not comply with our terms and conditions and if your actions constitute in any way to be unauthorised, fraudulent, or illegal purpose.

2.1.3 You are responsible for all activities that occur under your Account, regardless of whether the activities are undertaken by you, your employees or a third party and, except to the extent caused by our breach of this Agreement, we and our affiliates are not responsible to you or any third party for unauthorised access to and use of your Account.

2.1.4 You shall not:

a. modify, translate, or create derivative works based on Financio;

b. create any link to Financio or copy any content contained therein;

c. reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code or underlying ideas of Financio;

d. access Financio to build a competitive product or service, or copy any features, functions or graphics of Financio; or

e. perform any action that would interfere with the normal operations of Financio or affect the use of Financio by our other users.

2.2 Registration and Security

2.2.1 To access and use Financio, you must register and create a Financio User account (the “Account”). The registration formality requires you to provide current, complete and accurate details about you that we require. You agree to keep the information in your Account updated.

2.2.2 As part of the registration process, you will be requested to identify a username and password that will be used to set up the Account. You must ensure that the username and password required to access and use Financio are kept secure and confidential. You must immediately notify ABSS of any unauthorised use of your username or password or any other breach of security.

2.2.3 You acknowledge that we may use the details submitted by you to verify any other information you provide to us. You acknowledge and consent to our personnel logging in to Financio under your Account in order to maintain or improve Financio or to provide assistance with technical or billing issues.

2.3 Free Trial

2.3.1 We may make all or part of Financio available to you on a trial basis free of charge (the “Free Trial”). The Free Trial shall begin when you submit a registration for the same to us, and shall terminate on the earlier of:

a. the Free Trial expiration date as specified by us upon receiving your registration;

b. the date you purchase a paid subscription under this Agreement.

2.3.2 NOTWITHSTANDING CLAUSE 5, ACCESS TO FINANCIO IS PROVIDED “AS-IS” AND WITHOUT WARRANTY OF ANY KIND DURING THE FREE TRIAL.

2.4 Subscription

2.4.1 ABSS shall make Financio available to you pursuant to this Agreement during the Term (the “Subscription”).

2.5 Fees and Payments

2.5.1 The pricing information and payment rates (the “Fees”) that you are obligated to pay are set forth on the website. The Fees paid are non-refundable.

2.5.2 Unless otherwise provided for, paid subscriptions will be billed in advance on a monthly or annual basis.

2.5.3 A valid credit card that you have the right to use is required for any paid subscription, unless another form of payment is permitted by us.

2.6 Support

2.6.1 We will provide support via email or ‘live-chat” in connection with a paid subscription using Financio subject to the conditions and procedures.

2.7 Changes to Financio

2.7.1 We may continue to revise or modify Financio over time as more features are introduced. We may stop, suspend, or modify Financio at any time without prior notice to you. We may also remove any content (including your Client Data) from Financio at our sole discretion. We also may impose restrictions on the usage for Financio (in case of security issues or if we reasonably suspect misuse of Financio) as we, in our sole discretion, determine to be applicable and appropriate.

3. PROPRIETARY RIGHTS

3.1 Intellectual Property

3.1.1 All intellectual property rights in Financio and all intellectual property rights relating to the provision of support are owned or licensed by us. Except for the subscription granted hereunder, nothing in this Agreement gives you any right, title or interest to Financio or related support.

3.1.2 We grant you a nonexclusive and non-transferable licence to electronically access and use Financio only in the manner described in this Agreement.

3.1.3 Your comments or suggestions about improvements to Financio or any other component of our products or services (“Feedback”), provided to us are without any restrictions on our use of it. You also agree that we have no fiduciary or any other obligation to you in connection with any Feedback you submit to us, and that we are free to use your Feedback without any compensation to you.

4. TERM AND TERMINATION

4.1 Term and Termination

4.1.1 The Agreement is effective upon the date you first access or use Financio and it will continue to apply to you until terminated by either you or us.

4.1.2 We may terminate the Agreement or suspend your access to and use of Financio without liability at any time, including in the event of:

a. your actual or suspected unauthorised or prohibited use of Financio;

b. failure to comply with the provisions of the Agreement;

c. any requirement by law or a regulatory or government body;

d. protecting our network or our other users.

4.1.3 We may terminate the Agreement with immediate effect if you:

a. are unable to pay your debts; or

b. enter into compulsory or voluntary liquidation; or

c. have a receiver or manager or an administrator appointed.

4.1.4 Nothing under this Section shall be deemed as preventing us from seeking injunctive or other equitable relief from the courts as necessary to protect any of our proprietary interests. Except as otherwise provided in these Terms of Service, all remedies are cumulative and in addition to (not in lieu of) any other remedies available is to at law or equity.

4.2 Effects of Termination

4.2.1 You acknowledge and agree that the perpetual licence granted by you in relation to Client Data, including feedback, is irrevocable and will therefore continue after expiry or termination of the Agreement for any reason.

4.2.2 If you or ABSS terminate the Agreement, or if we suspend your access to Financio, you agree that we shall have no liability or responsibility to you and we will not refund any amounts that you have already paid, to the fullest extent permitted under applicable law.

4.2.3 Clauses of the Agreement, either explicitly or by their nature, must remain in effect even after termination of the Agreements.

5. WARRANTIES AND DISCLAIMERS

5.1 Warranties

5.1.1 FINANCIO IS PROVIDED “AS IS”, AND TO THE FULLEST EXTENT PERMITTED BY LAW,  NEITHER ABSS, ITS AGENTS, AFFILIATES, LICENSORS, NOR SUPPLIERS, MAKE ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, AND NON-INFRINGEMENT. ABSS MAKES NO REPRESENTATIONS ABOUT ANY CONTENT OR INFORMATION IN, OR FROM, A FINANCIO USER ACCOUNT.

5.1.2 We are not responsible for the accuracy, completeness, appropriateness, or legality of details, or any other information posted by a user.

5.1.3 We are not responsible for any harm to your computer system, loss or corruption of Client Data, or other harm that results from your access to or use of Financio.

5.1.4 We warrant that the performance relating to Financio will be carried out in a competent and workmanlike manner and in accordance with applicable industry standards for similar types of services.

5.2 Disclaimer

5.2.1 We disclaim any and all warranties not expressly stated in the Agreement to the maximum extent permitted by law, including the implied warranties relating to satisfactory quality and fitness for a particular purpose. You are solely responsible for the suitability of the services chosen.

5.2.2 We do not warrant that Financio will meet your requirements or that the operation of Financio will be uninterrupted, error-free or completely secure. Further, we do not warrant that all errors in Financio can or will be corrected.

5.2.3 You acknowledge that there are risks inherent in the connectivity involving the Internet that could result in the loss of your privacy and Client Data. We will not be responsible for any loss of or change in Client Data or inability to perform certain tasks resulting from your decision to downgrade your Subscription.

6. LIMITATION OF LIABILITY

6.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ABSS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR FOR DAMAGES RELATING TO TELECOMMUNICATION FAILURES, LOSS, CORRUPTION, SECURITY OR THEFT OF DATA, VIRUSES, SPYWARE,OR THE LIKE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, WHETHER OR NOT ABSS HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

7. INDEMNIFICATION

7.1 To the fullest extent allowed by applicable law, you agree to indemnify and hold ABSS, its affiliates, officers, agents, employees, suppliers, licensors and partners harmless from and against any and all claims, liabilities, damages (“Claim”) (actual and consequential), losses and expenses (including reasonable attorneys’ fees) arising from or in any way related to any third party claims that result from:

a. Your breach of any provision of this Agreement;

b. Your use of Financio;

c. Negligent or wilful misconduct of your employees, contractors, or agents; or

d. Contractual or other relationships between you and your customers.

7.2 In the event of such a Claim, we will attempt to provide notice of the Claim to the contact information we have for your Account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

8. CONTENT

8.1 In using Financio, you provide us with information, files, and folders that you submit to us (together, “Client Data”). You, and not us, are responsible for maintaining and protecting all of your Client Data. We will not be liable for any loss or corruption of your Client Data, or for any costs or expenses associated with backing up or restoring any of your Client Data.

8.2 You retain full ownership of your Client Data, but you hereby grant us a worldwide, non-exclusive, irrevocable, transferable, perpetual, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, edit, translate, make derivatives, display and distribute any and all Client Data in connection with providing Financio to you and other users.

8.3 This license also includes the right to modify or adapt your Client Data in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Client Data to conform and adapt that Client Data to any requirements or limitations of any networks, devices, services or media. You also extend these rights to the third party service providers with whom we work to provide Financio.

8.4 All Client Data in or on Financio, whether publicly posted or privately transmitted by users, is the sole responsibility of the person who originated such Client Data. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Client Data or communications posted or endorse any opinions expressed. If you use or rely on any Client Data or materials posted via Financio or obtained by you through Financio, it is at your own risk. Under no circumstances will we be liable in any way for any Client Data, or any loss or damage of any kind incurred as a result of the use of any Client Data in Financio.

8.5 We may use your name and logo on our website for the purpose of marketing Financio.

9. THIRD PARTY LINKS

9.1 We may reference or provide access to third-party services, products, and promotions that utilise, integrate, or provide ancillary services to Financio (“Third-Party Links”). These Third-Party Links are provided for your convenience only and do not constitute our approval, endorsement, or recommendation of any such Third-Party Links for you.

9.2 Your access and usage of any Third-Party Links will be based on your own evaluation and at your own risk. You understand that your use of any Third-Party Links is not governed by this Agreement. If you decide to use a Third-Party Link, you will be responsible for reviewing, understanding and accepting the terms and conditions associated with its use.

9.3 We expressly disclaim all responsibility and liability for your use of any Third-Party Links. Please also remember that when you use a Third-Party Links, our Privacy Policy is no longer in effect. Your use of a Third-Party Link, including those that have a link on Financio, is subject to that Third-Party Link’s own terms of use and privacy policies.

10. GENERAL PROVISIONS

10.1 Entire Agreement and Severability

10.1.1 These Terms of Service will constitute the entire agreement between ABSS and you with respect to the subject matter contemplated herein, and supersede all oral statements and prior writings with respect to the subject matter contemplated herein.

10.1.2 If any provision of these Terms of Service shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that these Terms of service shall otherwise remain in effect. No waiver shall be implied from conduct or failure to enforce or exercise rights under these Terms of Service. Nor will any waiver be effective unless in writing signed by a duly authorized representative on behalf of the party claiming to have waived.

10.1.3 This Agreement represents the complete and exclusive understanding relating to the Agreement’s subject matter. It supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the subject matter covered by this Agreement.

10.2 Notices

10.2.1 We may provide notifications electronically, whether these are required by law or are for marketing or other business related purposes, to you via email, or through posting of such notice on our website, as determined by us in our sole discretion.

10.2.2 You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.

10.3 Survival

10.3.1 All Clauses of the Agreement which by their nature should survive termination of any agreement between you and us, will survive termination, including, without limitation, restrictions, accrued rights to payment, confidentiality obligations, intellectual property rights, warranty disclaimers, and limitations of liability.

10.4 Assignment

10.4.1 The Agreement and any rights and licenses granted hereunder, may not be transferred or assigned by you without our written permission, but may be assigned by us without restriction. Any attempted transfer or assignment by you will be null and void.

10.5 Data Protection

10.5.1 ABSS and user agree to comply with our respective obligations under the Personal Data Protection Act (No. 26 of 2012) as applicable to personal data that it controls or processes as part of, or in connection with, its use or provision of Financio.

10.5.2 Specifically, but without limitation, you must comply with the Act as it relates to personal data that you store or transfer using your system.

10.6 Force Majeure

10.6.1 Neither we nor you will be in breach of the Agreement if the failure to perform the obligation is caused by a condition that was beyond the party’s reasonable control, such as, natural disaster or significant Internet disturbance, or other events of a type for which precautions are not generally taken in the industry.

10.7 Relationship

10.7.1 Nothing in this Agreement serves to establish a partnership, joint venture, or other agency relationship between you and us. The relationship between the parties is that of independent contractors.

10.8 Governing Law

10.8.1 The Agreement will be governed and construed in accordance with the substantive laws of Singapore as applied to agreements entered into and to be performed entirely within Singapore, without regard to its conflicts of law principles that would require application of law of a different jurisdiction.

10.9 Dispute Resolution

10.9.1 All disputes, controversies or differences (“Dispute”) arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”) for the time being in force.

10.9.2 The language of the arbitration shall be English.

10.9.3 The award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses. The prevailing party will be entitled to recover its attorneys’ fees and costs in connection with such an action.

11. DEFINITIONS

a. “Affiliate” means a subsidiary or holding company of ABSS either party to this Agreement and any subsidiary of such holding company (where “holding company” and “subsidiary” have the meanings set out in the Singaporean Companies Act).

b. “Client Data” means all information, data and other content provided by Customer in connection with its authorized use of the Service, including, without limitation, all data and information transmitted to the Service.

c. “Documentation” means the then-current technical and functional information regarding the Services that is provided by ABSS to users in electronic or other form.

d. “Fees” means the subscription fees and any other amounts due to ABSS and payable by you under this Agreement.

e. “Order Form” means an order form referencing this Agreement that has been mutually agreed to and executed by the parties.

f. “Services” means the professional services provided to you by ABSS pursuant to this Agreement.

g. “Term” means the period of effectiveness of this Agreement as specified in Clause 4.1 above.

1. INTRODUCTION

1.1 Welcome

1.1.1 Welcome to the terms of use (“Agreement” or “Terms of Service”) offered by Asian Business Software Solutions and its affiliates (“ABSS”, “we”, “us” or “our”).

1.1.2 This Agreement, together with any amendments, order forms, and any additional agreements is a legally binding contract that is entered into by the person or entity (“you”, “your”, or “user”) who registers with ABSS to have access to and use of websites, services, products and applications (collectively, the “Financio”). These Terms of Service apply to all visitors, users and others who access or use Financio.

1.1.3 The Agreement is effective as of the date of the email sent to you by us expressly confirming acceptance of your registration or the date you accept the Agreement as part of our online subscription process.

1.1.4 Please read this Agreement carefully.

1.2 Acceptance of Terms of Service

1.2.1 By registering with us or accessing or using Financio in any way made available by    ABSS, you, are indicating your acceptance of this Agreement and your agreement to abide by the Terms of Service and all other rules, policies and procedures that are published on the website.

1.2.2 If you are entering into this Agreement on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorised to do so.

1.2.3 If you do not agree with (or cannot comply with) the Agreement, then you may not access or use Financio.

1.3 Modifications to Terms of Service

1.3.1 We reserve the right, at our sole discretion, to make modifications to any portion of the Agreement in whole or in part, at any time without giving you prior notice. Your use of the Services following any such modification constitutes your acceptance to be bound by the Agreement as modified.

1.3.2 You agree that we shall not be liable to you or to any third party for any modifications to the Terms of Service. If you do not wish to continue using Financio under the new version of the Agreement, you may choose to terminate the Agreement.

1.4 Information

1.4.1 The information, material and content provided in the pages of Financio (the “Information”) is believed to be reliable when posted, but there is no guarantee that it is accurate, complete or current at all times.

2. SERVICES (“FINANCIO”)

2.1 Usage and Provision of Financio

2.1.1 You may access and use Financio only in compliance with these Terms of Service and in accordance with the instructions that we provide. You must use Financio in a lawful manner and you must adhere to all applicable laws, rules and regulations.

2.1.2 We may suspend or stop providing Financio to you if you do not comply with our terms and conditions and if your actions constitute in any way to be unauthorised, fraudulent, or illegal purpose.

2.1.3 You are responsible for all activities that occur under your Account, regardless of whether the activities are undertaken by you, your employees or a third party and, except to the extent caused by our breach of this Agreement, we and our affiliates are not responsible to you or any third party for unauthorised access to and use of your Account.

2.1.4 You shall not:

a. modify, translate, or create derivative works based on Financio;

b. create any link to Financio or copy any content contained therein;

c. reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code or underlying ideas of Financio;

d. access Financio to build a competitive product or service, or copy any features, functions or graphics of Financio; or

e. perform any action that would interfere with the normal operations of Financio or affect the use of Financio by our other users.

2.2 Registration and Security

2.2.1 To access and use Financio, you must register and create a Financio User account (the “Account”). The registration formality requires you to provide current, complete and accurate details about you that we require. You agree to keep the information in your Account updated.

2.2.2 As part of the registration process, you will be requested to identify a username and password that will be used to set up the Account. You must ensure that the username and password required to access and use Financio are kept secure and confidential. You must immediately notify ABSS of any unauthorised use of your username or password or any other breach of security.

2.2.3 You acknowledge that we may use the details submitted by you to verify any other information you provide to us. You acknowledge and consent to our personnel logging in to Financio under your Account in order to maintain or improve Financio or to provide assistance with technical or billing issues.

2.3 Free Trial

2.3.1 We may make all or part of Financio available to you on a trial basis free of charge (the “Free Trial”). The Free Trial shall begin when you submit a registration for the same to us, and shall terminate on the earlier of:

a. the Free Trial expiration date as specified by us upon receiving your registration;

b. the date you purchase a paid subscription under this Agreement.

2.3.2 NOTWITHSTANDING CLAUSE 5, ACCESS TO FINANCIO IS PROVIDED “AS-IS” AND WITHOUT WARRANTY OF ANY KIND DURING THE FREE TRIAL.

2.4 Subscription

2.4.1 ABSS shall make Financio available to you pursuant to this Agreement during the Term (the “Subscription”).

2.5 Fees and Payments

2.5.1 The pricing information and payment rates (the “Fees”) that you are obligated to pay are set forth on the website. The Fees paid are non-refundable.

2.5.2 Unless otherwise provided for, paid subscriptions will be billed in advance on a monthly or annual basis.

2.5.3 A valid credit card that you have the right to use is required for any paid subscription, unless another form of payment is permitted by us.

2.6 Support

2.6.1 We will provide support via email or ‘live-chat” in connection with a paid subscription using Financio subject to the conditions and procedures.

2.7 Changes to Financio

2.7.1 We may continue to revise or modify Financio over time as more features are introduced. We may stop, suspend, or modify Financio at any time without prior notice to you. We may also remove any content (including your Client Data) from Financio at our sole discretion. We also may impose restrictions on the usage for Financio (in case of security issues or if we reasonably suspect misuse of Financio) as we, in our sole discretion, determine to be applicable and appropriate.

3. PROPRIETARY RIGHTS

3.1 Intellectual Property

3.1.1 All intellectual property rights in Financio and all intellectual property rights relating to the provision of support are owned or licensed by us. Except for the subscription granted hereunder, nothing in this Agreement gives you any right, title or interest to Financio or related support.

3.1.2 We grant you a nonexclusive and non-transferable licence to electronically access and use Financio only in the manner described in this Agreement.

3.1.3 Your comments or suggestions about improvements to Financio or any other component of our products or services (“Feedback”), provided to us are without any restrictions on our use of it. You also agree that we have no fiduciary or any other obligation to you in connection with any Feedback you submit to us, and that we are free to use your Feedback without any compensation to you.

4. TERM AND TERMINATION

4.1 Term and Termination

4.1.1 The Agreement is effective upon the date you first access or use Financio and it will continue to apply to you until terminated by either you or us.

4.1.2 We may terminate the Agreement or suspend your access to and use of Financio without liability at any time, including in the event of:

a. your actual or suspected unauthorised or prohibited use of Financio;

b. failure to comply with the provisions of the Agreement;

c. any requirement by law or a regulatory or government body;

d. protecting our network or our other users.

4.1.3 We may terminate the Agreement with immediate effect if you:

a. are unable to pay your debts; or

b. enter into compulsory or voluntary liquidation; or

c. have a receiver or manager or an administrator appointed.

4.1.4 Nothing under this Section shall be deemed as preventing us from seeking injunctive or other equitable relief from the courts as necessary to protect any of our proprietary interests. Except as otherwise provided in these Terms of Service, all remedies are cumulative and in addition to (not in lieu of) any other remedies available is to at law or equity.

10.1.3 This Agreement represents the complete and exclusive understanding relating to the Agreement’s subject matter. It supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the subject matter covered by this Agreement.

10.2 Notices

10.2.1 We may provide notifications electronically, whether these are required by law or are for marketing or other business related purposes, to you via email, or through posting of such notice on our website, as determined by us in our sole discretion.

10.2.2 You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.

10.3 Survival

10.3.1 All Clauses of the Agreement which by their nature should survive termination of any agreement between you and us, will survive termination, including, without limitation, restrictions, accrued rights to payment, confidentiality obligations, intellectual property rights, warranty disclaimers, and limitations of liability.

10.4 Assignment

10.4.1 The Agreement and any rights and licenses granted hereunder, may not be transferred or assigned by you without our written permission, but may be assigned by us without restriction. Any attempted transfer or assignment by you will be null and void.

10.5 Data Protection

10.5.1 ABSS and user agree to comply with our respective obligations under the Personal Data Protection Act (No. 26 of 2012) as applicable to personal data that it controls or processes as part of, or in connection with, its use or provision of Financio.

10.5.2 Specifically, but without limitation, you must comply with the Act as it relates to personal data that you store or transfer using your system.

10.6 Force Majeure

10.6.1 Neither we nor you will be in breach of the Agreement if the failure to perform the obligation is caused by a condition that was beyond the party’s reasonable control, such as, natural disaster or significant Internet disturbance, or other events of a type for which precautions are not generally taken in the industry.

10.7 Relationship

10.7.1 Nothing in this Agreement serves to establish a partnership, joint venture, or other agency relationship between you and us. The relationship between the parties is that of independent contractors.

10.8 Governing Law

10.8.1 The Agreement will be governed and construed in accordance with the substantive laws of Singapore as applied to agreements entered into and to be performed entirely within Singapore, without regard to its conflicts of law principles that would require application of law of a different jurisdiction.

10.9 Dispute Resolution

10.9.1 All disputes, controversies or differences (“Dispute”) arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”) for the time being in force.

10.9.2 The language of the arbitration shall be English.

10.9.3 The award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses. The prevailing party will be entitled to recover its attorneys’ fees and costs in connection with such an action.

11. DEFINITIONS

a. “Affiliate” means a subsidiary or holding company of ABSS either party to this Agreement and any subsidiary of such holding company (where “holding company” and “subsidiary” have the meanings set out in the Singaporean Companies Act).

b. “Client Data” means all information, data and other content provided by Customer in connection with its authorized use of the Service, including, without limitation, all data and information transmitted to the Service.

c. “Documentation” means the then-current technical and functional information regarding the Services that is provided by ABSS to users in electronic or other form.

d. “Fees” means the subscription fees and any other amounts due to ABSS and payable by you under this Agreement.

e. “Order Form” means an order form referencing this Agreement that has been mutually agreed to and executed by the parties.

f. “Services” means the professional services provided to you by ABSS pursuant to this Agreement.

g. “Term” means the period of effectiveness of this Agreement as specified in Clause 4.1 above.

1. INTRODUCTION

1.1 Welcome

1.1.1 Welcome to the terms of use (“Agreement” or “Terms of Service”) offered by Asian Business Software Solutions and its affiliates (“ABSS”, “we”, “us” or “our”).

1.1.2 This Agreement, together with any amendments, order forms, and any additional agreements is a legally binding contract that is entered into by the person or entity (“you”, “your”, or “user”) who registers with ABSS to have access to and use of websites, services, products and applications (collectively, the “Financio”). These Terms of Service apply to all visitors, users and others who access or use Financio.

1.1.3 The Agreement is effective as of the date of the email sent to you by us expressly confirming acceptance of your registration or the date you accept the Agreement as part of our online subscription process.

1.1.4 Please read this Agreement carefully.

1.2 Acceptance of Terms of Service

1.2.1 By registering with us or accessing or using Financio in any way made available by    ABSS, you, are indicating your acceptance of this Agreement and your agreement to abide by the Terms of Service and all other rules, policies and procedures that are published on the website.

1.2.2 If you are entering into this Agreement on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorised to do so.

1.2.3 If you do not agree with (or cannot comply with) the Agreement, then you may not access or use Financio.

1.3 Modifications to Terms of Service

1.3.1 We reserve the right, at our sole discretion, to make modifications to any portion of the Agreement in whole or in part, at any time without giving you prior notice. Your use of the Services following any such modification constitutes your acceptance to be bound by the Agreement as modified.

1.3.2 You agree that we shall not be liable to you or to any third party for any modifications to the Terms of Service. If you do not wish to continue using Financio under the new version of the Agreement, you may choose to terminate the Agreement.

1.4 Information

1.4.1 The information, material and content provided in the pages of Financio (the “Information”) is believed to be reliable when posted, but there is no guarantee that it is accurate, complete or current at all times.

2. SERVICES (“FINANCIO”)

2.1 Usage and Provision of Financio

2.1.1 You may access and use Financio only in compliance with these Terms of Service and in accordance with the instructions that we provide. You must use Financio in a lawful manner and you must adhere to all applicable laws, rules and regulations.

2.1.2 We may suspend or stop providing Financio to you if you do not comply with our terms and conditions and if your actions constitute in any way to be unauthorised, fraudulent, or illegal purpose.

2.1.3 You are responsible for all activities that occur under your Account, regardless of whether the activities are undertaken by you, your employees or a third party and, except to the extent caused by our breach of this Agreement, we and our affiliates are not responsible to you or any third party for unauthorised access to and use of your Account.

2.1.4 You shall not:

a. modify, translate, or create derivative works based on Financio;

b. create any link to Financio or copy any content contained therein;

c. reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code or underlying ideas of Financio;

d. access Financio to build a competitive product or service, or copy any features, functions or graphics of Financio; or

e. perform any action that would interfere with the normal operations of Financio or affect the use of Financio by our other users.

2.2 Registration and Security

2.2.1 To access and use Financio, you must register and create a Financio User account (the “Account”). The registration formality requires you to provide current, complete and accurate details about you that we require. You agree to keep the information in your Account updated.

2.2.2 As part of the registration process, you will be requested to identify a username and password that will be used to set up the Account. You must ensure that the username and password required to access and use Financio are kept secure and confidential. You must immediately notify ABSS of any unauthorised use of your username or password or any other breach of security.

2.2.3 You acknowledge that we may use the details submitted by you to verify any other information you provide to us. You acknowledge and consent to our personnel logging in to Financio under your Account in order to maintain or improve Financio or to provide assistance with technical or billing issues.

2.3 Free Trial

2.3.1 We may make all or part of Financio available to you on a trial basis free of charge (the “Free Trial”). The Free Trial shall begin when you submit a registration for the same to us, and shall terminate on the earlier of:

a. the Free Trial expiration date as specified by us upon receiving your registration;

b. the date you purchase a paid subscription under this Agreement.

2.3.2 NOTWITHSTANDING CLAUSE 5, ACCESS TO FINANCIO IS PROVIDED “AS-IS” AND WITHOUT WARRANTY OF ANY KIND DURING THE FREE TRIAL.

2.4 Subscription

2.4.1 ABSS shall make Financio available to you pursuant to this Agreement during the Term (the “Subscription”).

2.5 Fees and Payments

2.5.1 The pricing information and payment rates (the “Fees”) that you are obligated to pay are set forth on the website. The Fees paid are non-refundable.

2.5.2 Unless otherwise provided for, paid subscriptions will be billed in advance on a monthly or annual basis.

2.5.3 A valid credit card that you have the right to use is required for any paid subscription, unless another form of payment is permitted by us.

2.6 Support

2.6.1 We will provide support via email or ‘live-chat” in connection with a paid subscription using Financio subject to the conditions and procedures.

2.7 Changes to Financio

2.7.1 We may continue to revise or modify Financio over time as more features are introduced. We may stop, suspend, or modify Financio at any time without prior notice to you. We may also remove any content (including your Client Data) from Financio at our sole discretion. We also may impose restrictions on the usage for Financio (in case of security issues or if we reasonably suspect misuse of Financio) as we, in our sole discretion, determine to be applicable and appropriate.

3. PROPRIETARY RIGHTS

3.1 Intellectual Property

3.1.1 All intellectual property rights in Financio and all intellectual property rights relating to the provision of support are owned or licensed by us. Except for the subscription granted hereunder, nothing in this Agreement gives you any right, title or interest to Financio or related support.

3.1.2 We grant you a nonexclusive and non-transferable licence to electronically access and use Financio only in the manner described in this Agreement.

3.1.3 Your comments or suggestions about improvements to Financio or any other component of our products or services (“Feedback”), provided to us are without any restrictions on our use of it. You also agree that we have no fiduciary or any other obligation to you in connection with any Feedback you submit to us, and that we are free to use your Feedback without any compensation to you.

4. TERM AND TERMINATION

4.1 Term and Termination

4.1.1 The Agreement is effective upon the date you first access or use Financio and it will continue to apply to you until terminated by either you or us.

4.1.2 We may terminate the Agreement or suspend your access to and use of Financio without liability at any time, including in the event of:

a. your actual or suspected unauthorised or prohibited use of Financio;

b. failure to comply with the provisions of the Agreement;

c. any requirement by law or a regulatory or government body;

d. protecting our network or our other users.

4.1.3 We may terminate the Agreement with immediate effect if you:

a. are unable to pay your debts; or

b. enter into compulsory or voluntary liquidation; or

c. have a receiver or manager or an administrator appointed.

4.1.4 Nothing under this Section shall be deemed as preventing us from seeking injunctive or other equitable relief from the courts as necessary to protect any of our proprietary interests. Except as otherwise provided in these Terms of Service, all remedies are cumulative and in addition to (not in lieu of) any other remedies available is to at law or equity.

4.2 Effects of Termination

4.2.1 You acknowledge and agree that the perpetual licence granted by you in relation to Client Data, including feedback, is irrevocable and will therefore continue after expiry or termination of the Agreement for any reason.

4.2.2 If you or ABSS terminate the Agreement, or if we suspend your access to Financio, you agree that we shall have no liability or responsibility to you and we will not refund any amounts that you have already paid, to the fullest extent permitted under applicable law.

4.2.3 Clauses of the Agreement, either explicitly or by their nature, must remain in effect even after termination of the Agreements.

5. WARRANTIES AND DISCLAIMERS

5.1 Warranties

5.1.1 FINANCIO IS PROVIDED “AS IS”, AND TO THE FULLEST EXTENT PERMITTED BY LAW,  NEITHER ABSS, ITS AGENTS, AFFILIATES, LICENSORS, NOR SUPPLIERS, MAKE ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, AND NON-INFRINGEMENT. ABSS MAKES NO REPRESENTATIONS ABOUT ANY CONTENT OR INFORMATION IN, OR FROM, A FINANCIO USER ACCOUNT.

5.1.2 We are not responsible for the accuracy, completeness, appropriateness, or legality of details, or any other information posted by a user.

5.1.3 We are not responsible for any harm to your computer system, loss or corruption of Client Data, or other harm that results from your access to or use of Financio.

5.1.4 We warrant that the performance relating to Financio will be carried out in a competent and workmanlike manner and in accordance with applicable industry standards for similar types of services.

5.2 Disclaimer

5.2.1 We disclaim any and all warranties not expressly stated in the Agreement to the maximum extent permitted by law, including the implied warranties relating to satisfactory quality and fitness for a particular purpose. You are solely responsible for the suitability of the services chosen.

5.2.2 We do not warrant that Financio will meet your requirements or that the operation of Financio will be uninterrupted, error-free or completely secure. Further, we do not warrant that all errors in Financio can or will be corrected.

5.2.3 You acknowledge that there are risks inherent in the connectivity involving the Internet that could result in the loss of your privacy and Client Data. We will not be responsible for any loss of or change in Client Data or inability to perform certain tasks resulting from your decision to downgrade your Subscription.

6. LIMITATION OF LIABILITY

6.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ABSS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR FOR DAMAGES RELATING TO TELECOMMUNICATION FAILURES, LOSS, CORRUPTION, SECURITY OR THEFT OF DATA, VIRUSES, SPYWARE,OR THE LIKE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, WHETHER OR NOT ABSS HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

7. INDEMNIFICATION

7.1 To the fullest extent allowed by applicable law, you agree to indemnify and hold ABSS, its affiliates, officers, agents, employees, suppliers, licensors and partners harmless from and against any and all claims, liabilities, damages (“Claim”) (actual and consequential), losses and expenses (including reasonable attorneys’ fees) arising from or in any way related to any third party claims that result from:

a. Your breach of any provision of this Agreement;

b. Your use of Financio;

c. Negligent or wilful misconduct of your employees, contractors, or agents; or

d. Contractual or other relationships between you and your customers.

7.2 In the event of such a Claim, we will attempt to provide notice of the Claim to the contact information we have for your Account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

8. CONTENT

8.1 In using Financio, you provide us with information, files, and folders that you submit to us (together, “Client Data”). You, and not us, are responsible for maintaining and protecting all of your Client Data. We will not be liable for any loss or corruption of your Client Data, or for any costs or expenses associated with backing up or restoring any of your Client Data.

8.2 You retain full ownership of your Client Data, but you hereby grant us a worldwide, non-exclusive, irrevocable, transferable, perpetual, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, edit, translate, make derivatives, display and distribute any and all Client Data in connection with providing Financio to you and other users.

8.3 This license also includes the right to modify or adapt your Client Data in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Client Data to conform and adapt that Client Data to any requirements or limitations of any networks, devices, services or media. You also extend these rights to the third party service providers with whom we work to provide Financio.

8.4 All Client Data in or on Financio, whether publicly posted or privately transmitted by users, is the sole responsibility of the person who originated such Client Data. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Client Data or communications posted or endorse any opinions expressed. If you use or rely on any Client Data or materials posted via Financio or obtained by you through Financio, it is at your own risk. Under no circumstances will we be liable in any way for any Client Data, or any loss or damage of any kind incurred as a result of the use of any Client Data in Financio.

8.5 We may use your name and logo on our website for the purpose of marketing Financio.

9. THIRD PARTY LINKS

9.1 We may reference or provide access to third-party services, products, and promotions that utilise, integrate, or provide ancillary services to Financio (“Third-Party Links”). These Third-Party Links are provided for your convenience only and do not constitute our approval, endorsement, or recommendation of any such Third-Party Links for you.

9.2 Your access and usage of any Third-Party Links will be based on your own evaluation and at your own risk. You understand that your use of any Third-Party Links is not governed by this Agreement. If you decide to use a Third-Party Link, you will be responsible for reviewing, understanding and accepting the terms and conditions associated with its use.

9.3 We expressly disclaim all responsibility and liability for your use of any Third-Party Links. Please also remember that when you use a Third-Party Links, our Privacy Policy is no longer in effect. Your use of a Third-Party Link, including those that have a link on Financio, is subject to that Third-Party Link’s own terms of use and privacy policies.

10. GENERAL PROVISIONS

10.1 Entire Agreement and Severability

10.1.1 These Terms of Service will constitute the entire agreement between ABSS and you with respect to the subject matter contemplated herein, and supersede all oral statements and prior writings with respect to the subject matter contemplated herein.

10.1.2 If any provision of these Terms of Service shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that these Terms of service shall otherwise remain in effect. No waiver shall be implied from conduct or failure to enforce or exercise rights under these Terms of Service. Nor will any waiver be effective unless in writing signed by a duly authorized representative on behalf of the party claiming to have waived.

How can I activate my Corporate PayNow and connect it within Financio?

To activate PayNow Corporate, log into your Financio > go to Control Panel > Business Settings > Form Design > Toggle ‘SG PayNow Enabled’. If you’ve yet to register for PayNow Corporate, register now at https://www.dbs.com.sg/corporate/paynow.

*Note that Corporate PayNow is only available for Premium users.

What is Corporate PayNow?

With PayNow Corporate, you can make and receive payments instantly with just your Unique Entity Number (UEN), without the need to know or disclose any account numbers. PayNow Corporate is available for FAST and GIRO transactions. For more information, please refer to https://www.dbs.com.sg/corporate/paynow.

Singapore is committed to moving away from paper invoices. The government will enable all departments to receive PEPPOL-invoices and support private organizations to do the same. To support the initiative, Infocomm Media Development Authority (IMDA) announced The E-Invoicing Registration Grant (ERG) that provides businesses with a one-time payment of $200 upon successful registration to the Peppol network.

The worldwide COVID-19 outbreak has a growing impact on the economy. We know this is a difficult time for SMEs and Micro SMEs. To make things as simple as possible, we have put together some useful resources and information to help you navigate these challenging times.
(updated with the additional support announced on with the PENJANA plan on 5 June 2020)


Steps You Can Take Today


Companies registered with the Companies Commission of Malaysia (SSM) or local authorities before 1 January 2020, and are registered with the Social Security Organisation (SOCSO) with local employees who are earning RM4,000 and below will receive the following subsidy assistance:

  • Companies with a workforce of more than 200 people, will be provided with a wage subsidy of RM600 per month for every employee (up to to 200 employees).
  • Companies with employees between 75 to 200 people, will be provided with a wage subsidy of RM800 per month for every employee.
  • Companies with employees less than 75 people, will be provided with a wage subsidy of RM1,200 per month per employee.
  • Companies are required to retain their employees at least for a period of 6 months, that is 3 months during the period receiving the subsidies and 3 months thereafter.

Note:
For workers in sectors that were not allowed to operate during the CMCO, and were asked to go on unpaid leave, employers can request a wage subsidy, on the condition that the worker receives the subsidy directly

A PRIHATIN special grant amounting to RM2.1 billion for all qualified micro SMEs will also be introduced.  A special grant of as much as RM3,000 will be approved for each eligible micro SMEs.

These micro-SMEs must register with the Inland Revenue Board (LHDN) to receive this assistance. The government will obtain a list of eligible micro SMEs from the local authorities and SSM.

If you have applied for the Prihatin Special Grant, you can check your application status here . Successful applicants will receive the grant by June 15, 2020

The government has called on lending organisations who provide credit facilities to impose a moratorium on SME instalment payments for 6 months beginning April 2020. All SMEs automatically qualify for a 6-month moratorium for your loans and financing.

Here’s what you have to know about this initiative:

Eligibility.
Only applies to ringgit-denominated loans that are not in default exceeding 90 days as at 1 April 2020. Does not apply to credit card debt.

Automatic.
You do not have to apply for this, as it is automatic. If you do not want to defer your loan payment, contact your bank.

Period.
Effective 1 April – 30 September 2020.

Interest payments.
No late payment interest or charges, but your interest charges will accrue.

Credit score.
This will not be classified under CCRIS as a loan deferment.

Did you know? If you provide a rental reduction of at least 30% from original rental rate, or waiver, to SME tenants now, you can enjoy further tax deduction which is equivalent to the amount of rental reduction. From April to June 2020 only.
SMEs that are currently renting an office can try to approach the landlord for a rental reduction. Take note that MARA, PETRONAS, PNB, PLUS and UDA and several other companies owned by the state government agreed to give a discount or not impose rent on their premises, specifically for SME tenants.

During this challenging time, some SMEs can still operate in the short term even if they are making losses but not if they run out of cash. Those that will survive the COVID-19 crisis are the ones that can effectively manage their costs, capital and most importantly, cashflow.

Take a light read on how you can improve your cash flow management skill.

PENJANA SME financing loan to assist SMEs who need cash flow support to sustain business operations. This financing facility will be made available in mid-June 2020, with a maximum loan size of RM 500,000 per SME.

PENJANA Microfinancing – allocation of up to RM 400 million under this micro-financing scheme, with RM 50 million allocated for female entrepreneurs. The aggregated approved financing will be capped at RM 50,000 per enterprise.

Bumiputera relief financing – dedicated financial assistance of RM 200 million through PUNB and RM 300 million through MARA for Bumiputera businesses.

Dana PENJANA Nasional – An investment fund will be established, which will match private capital investment with selected venture capital and early-stage tech fund managers. It is noteworthy that Government has announced that the international investors who are interested to participate include renowned venture capitalists like 500 Startups, SK Group, Hanwha Asset Management, KB Investment Co Ltd, Provident Growth and The Hive.

The Inland Revenue Board (IRB) has announced an extension of two months from the regular deadline for income tax filings, amid the Movement Restriction Order imposed by the government.

The relevant forms to be submitted by taxpayers that do not own a business will be extended by two months to June 30, 2020, while the deadline for taxpayers that own a business is now extended to Aug 31, 2020.

Penalty remissions:

50% remission of late payment penalty will be granted for any late payment of sales tax and service tax which is due and payable from 1 July 2020 to 30 September 2020.

COVID-19 related expenses

With immediate effect, to encourage businesses to adapt to the new norm and adhere to SOPs, the Government will extend the period and expand the scope of expenses allowed as tax deduction or capital allowance for COVID-19’s prevention. This includes the cost of personal protective equipment, COVID-19 screening test and thermal scanners.

Flexible Work Arrangements (“FWAs”)

Employers which implement FWAs (eg. work-from-home arrangements) or undertake enhancement of their existing FWAs will be given further tax deduction effective 1 July 2020. The types of expenses which will qualify for the further deduction are not known at this time. With an increasing number of Malaysians working from home, SOCSO will also provide coverage for workers who are involved in accidents while working at home under the Employment Injury Scheme. (Effective: Beginning June 2020)
Financial incentives to employers that recruit unemployed individuals as follows:
  • RM800 for every individual under the age of 40.
  • RM1,000 for every individual aged 40 and above or individuals with disabilities (OKU).
  • Businesses that provide apprenticeships to school leavers and graduates will receive RM600 per person per month, for a period of up to six months. (Effective mid-June – December 2020)

Steps You Can Take Today


The Jobs Support Scheme (JSS) was launched in Budget 2020 and enhanced in the  Resilience and Solidarity Budgets.

Under the JSS, the Government will co-fund the first $4,600 of gross monthly wages# paid to each local employee for 9 months.

(New) Extended for 1 more month to cover wages in August 2020 (will be paid out in Oct 2020), bringing total coverage to 10 months of wages. 

The JSS provides employers with between 25% and 75% wage support for the first $4,600 gross monthly wage paid to each local employee (including shareholder-directors). Employers do not need to apply for the JSS. The cash grant will be computed based on CPF contribution data.

(new) For firms that are not allowed to resume operations, the Government will continue providing wage support at 75% until August 2020 or when allowed to reopen, whichever is earlier.

(new) Increased support for some affected sectors (e.g.aerospace, retail, marine, and offshore) from 25% to 50% or 75%.

Notes:

  • Gross monthly wages include employee CPF contributions, but exclude employer CPF contributions
  • Employers who put local employees on mandatory no-pay-leave or retrench them will not be entitled to the enhanced JSS payout for those employees.
  • Employers do not need to apply for the JSS. IRAS will notify eligible employers by post of the tier of support and the amount of JSS payout payable to them.

Automatic Deferment of Corporate Income Tax (CIT) Payments

To further ease cashflow, businesses and self-employed persons will be granted a three-month deferment on income tax payments.

All companies with corporate income tax payments due in April, May and June will be granted an automatic three-month deferral, and the payments will be collected from July instead.

Companies can expect to receive a letter from IRAS by 15 April 2020. Those on GIRO and have ongoing CIT payments due in April, May and June 2020 can view their revised instalment plans at myTax Portal in early May 2020.

The Productivity Solutions Grant (PSG)

For companies looking to kick-start their adoption of technology with pre-qualified IT solutions and equipment that enhances productivity.

As announced at Supplementary Budget 2020, PSG will be enhanced to encourage enterprises to continue their digitalisation and productivity upgrading efforts. The maximum funding support level will be raised to 80% from 1 April 2020 to 31 December 2020. Check out ABSS Accounting Software packages that are pre-approved by PSG.

E-Invoicing Registration Grant (ERG)

IMDA will set aside $10 million to help businesses (a) implement work-from-home plans by eliminating the need to handle paper invoices in the short term; and (b) improve operational efficiency, and build a strong foundation for digitalising other business processes in the long term.

Businesses that register on the Nationwide E-invoicing Network by 31 Dec 2020 will receive a one-time grant of $200. Once registered, businesses will be able to send and receive e-invoices through the network. Businesses can register through more than 50 Peppol-ready accounting and enterprise resource planning (ERP) solutions. They will receive their grant via PayNow Corporate.

The Digital Resilience Bonus aims to uplift the digital capabilities of a broad base of enterprises. For a start, DRB will be targeted at the Food Services and Retail sectors, which are more affected by safe distancing requirements in the reopening of the economy.

The DRB is given on top of enhanced digitalisation assistance provided under the SMEs Go Digital programme. Food Services and Retail enterprises that have PayNow Corporatee-invoicing, and use pre-defined categories of digital solutions for Business Processes, Digital Presence and Data Mining and Analytics can receive bonus payouts of up to $10,000.

rental relief

For 2020, qualifying commercial properties that have been more badly affected by the COVID-19 outbreak will pay no Property Tax. These include hotels, serviced apartments, tourist attractions, shops, and restaurants. 

Businesses in other non-residential properties such as offices and industrial properties affected will be granted a Property Tax Rebate of 30% for the year 2020.

IRAS will send out the rebate notices by 31 May 2020. Property owners can expect to receive their refunds by 30 June 2020.

(New) 

The government will provide a cash grant to offset the rental costs of SME tenants, which will be disbursed through property owners. The grant will cost the government about $2 billion in total, and will be disbursed automatically from the end of July.

Including the Property Tax Rebate for 2020, Government will

  • Offset 2 months’ rental for qualifying SME tenants of commercial properties
  • Offset 1 month’s rental for qualifying SME tenants of industrial and office properties

The government tenants to received additional rental waivers: 

  • 2 more months for hawkers and commercial
  • 1 more month for industrial, office and agriculture

The foreign worker levy waiver and rebate will be extended up to 2 months for businesses who are not allowed to resume operations on-site immediately after the circuit breaker period. Such businesses include those in the construction, marine and offshore, and processing sectors. The waiver and rebate are as follows:

  • June 2020 – 100% waiver and S$750 rebate.
  • July 2020 – 50% waiver and S$375 rebate.

Who can apply?


SMEs can apply for grant if they meet the following criteria:

The company is owned by at least 60% Malaysian.

Registered companies under the relevant act in Malaysia and are classified as SMES.

The company operates at least one (1) year.

For new SMES in operation for one (1) year, the business need to have a minimum annual sales amount of RM100, 000.00 (RM8,334 per month).

For SMES that have been operating more than two (2) years, the business needs to have a minimum annual sales turnover of RM50, 000.00 for each year (RM4,167 per month).

What is SME Digitalisation Initiative?

SME Digitalisation Initiative is a new grant initiative provided by the Ministry of Finance Malaysia to assist Small and Medium Enterprises (“SME”) to adopt Digitalisation in their business operations.

As announced in Malaysia’s 2020 Budget presentation, the Government will provide a 50% matching grant of up to RM5,000.00 per company over a period of 5 years for the subscription of digital services that will enhance their productivity and competitiveness.

What are the grant details for SME Digitalisation Initiative?

i.) Grant

This matching grant is limited to one (1) application per SME only, however, SMEs are allowed to apply up to three (3) digital services with one (1) or more service providers that are endorsed by MDEC (“Service Provider”).

ii) Availability

This grant facility is provided by the Government for a period of five (5) years beginning from 17th February 2020 or upon reaching 100,000 applications, whichever comes first.

iii) Fees

No fees imposed.

What are the Digitalisation services available under the SME Digitalisation Initiative?

There are seven (7) types of digitalisation services available as follows:-
i) Electronic Point of Sale System (e-POS)
ii) Human Resource Payroll System/Customer Relationship Management
(CRM)
iii) Digital Marketing / Sales
iv) Procurement
v) Enterprise Resource Planning (ERP)/Accounting and Taxation.
vi) Remote Working

Who is eligible to apply for SME Digitalisation Initiative?

SMEs that fulfil the following criteria below are eligible and encouraged to apply:-
i) The SME must be at least 60% owned by Malaysian;
ii) The SME must be registered under the relevant laws of Malaysia and classified as SME;
iii) The SME have been in operation for at least one (1) year;
iv) For the SMEs which has been in operation for one (1) year, the SME is required to have an annual minimum sales turnover of RM100,000.00 for the first year; and
v) For the SMEs which has been in operation for two (2) years or more, the SME is required to have a minimum sales turnover of RM50,000.00 for the preceding two (2) consecutive years.

What are the documents required for my application?

Applications are to be attached with the following supporting documents:
i) Completed SME Digitalisation Initiative Application Form;
ii) A copy of the Identification Card or Passport of Director (s) / Partner (s) / Proprietor(s) of the SME, whichever is applicable;
iii) A copy of the SME’s business registration licenses (SSM or any similar forms under the Companies Act 2016);
iv) Latest audited financial statements or latest financial management account statement or the SME’s bank statement for the last two (2) months;
v) Quotation/invoice for the selected digitalisation services from the Service Provider listed by MDEC;
vi) Any other information and documents as and when required by the Bank

How to apply for SME Digitalisation Initiative?

i) The SME must contact and appoint one or more panel of Service Providers listed by MDEC to perform any of the digitalisation services available (maximum of 3 digital services).
ii) The SME is to complete and submit the application form along with required documents to the Service Provider.
iii) The Service Provider is to submit the application form together with the supporting documents to the Bank.
iv) Once the SME’s application is approved, subject to the total invoice amount, the SME is responsible to pay the difference of the total invoice after deducting the subsidised amount granted from the Initiative for each digitalisation service to the Service Provider.
v) The Bank will then make a direct 50% payment of the total invoice amount or up to RM5,000.00 to the Service Provider in one lump sum payment or in stages based on the Bank’s discretion.

What is InvoiceNow?

Electronic invoicing (E-Invoicing) is the automated creation, exchange and processing of the request for payments between suppliers and buyers using a structured digital format. So, what does this really mean?

In Singapore’s context, Infocomm Media Development Authority (IMDA) has implemented the Pan-European Public Procurement On-Line (PEPPOL) InvoiceNow standard. Simply put, this standard generates invoices that contain structured data; data that is in a particular format so that it can be processed automatically. With PEPPOL, this comes in EDI - electronic data interchange format. The result is your invoice arrives in a format that’s immediately ready to be processed for payment, with no need for any details to be keyed in all over again.

  2. Key in the UEN number of your business partner and then click the “Search Peppol Directory” button.

InvoiceNow allows direct transmission of invoices in structured digital format from one finance system to another using the Nationwide E-delivery network which is based on Peppol, allowing for the invoice to be flipped to E-payments such as Paynow directly.
In a common business scenario today, a PDF e-invoice is sent to the recipient organisation by email. This is a single-sided operation requiring your recipient to re-enter the details of the invoice into their own accounting system (e.g. accounts payable). A more complete solution should include the transmission of data from supplier system to buyer system without human intervention and potentially allow for the InvoiceNow invoice to be paid seamlessly.
Peppol is an international E-Document delivery network and business document standard form of Electronic Data Interchange (EDI) allowing enterprises to digitally transact with other linked companies on the Network.
Any company authorised personnel can register for a Peppol ID/InvoiceNow on behalf of the company. However, you can only be registered with one Peppol Access Point provider at any one time.
If you like to register with another Peppol Access Point provider, you will need to de-register with your existing Access Point provider before registering with your preferred Access Point provider.
No, InvoiceNow e-invoicing is based on the Peppol business document standard and operates over the Peppol network and allowing enterprises to digitally transact with other linked companies on the Network.
a. Faster payment of Invoices due to the simplification of Invoice to Payment processes. Several banks are working on solutions that allow users to directly flip an InvoiceNow e-invoice to an E-Payment. b. Reduction of tedious and time-consuming manual processes (estimated $8 per invoice according to a study commissioned by IMDA) c. Reduction of errors and rectification costs (estimated to affect 3% of paper invoices and costing as much as S$72 to rectify, according to a study commissioned by IMDA). d. Reduction of storage, retrieval and delivery costs.
IMDA has put in placed the nationwide e-invoicing framework with open and international standards for companies to adopt. Companies that adopt the e-invoicing network stand to gain from business efficiency and improved payment cycles. IMDA has also certified Access Points (APs) who will assist the end-user companies in getting connected through a variety of methods to meet the different digitalisation status of each company. By providing choices and making it easy for end-user companies to adopt e-invoicing through the open standard, more can come on board the network and gain from it early.
To benefit from the network, users (i.e. senders and receivers of invoices) must be registered on the network. Just like emails, there's a need for each to be registered and have a PeppolID that partners can send InvoiceNow e-invoices to.
The Government will consider making Peppol the only channel to invoice the Government when majority of the suppliers have come on-board the Peppol network.
